Public offer agreement

Gastronomic Theatre Service Limited Liability Company «GTS» (INN 9709109580, OGRN 1247700302300), hereinafter the «Organizer», represented by its General Director Sergey Nikolaevich Anokhin acting on the basis of the Charter, provides to the person hereinafter the «Customer/Visitor» who has purchased a ticket the services whose list and prices are published on the website https://svetshow.ru/, while the procedure for rendering the service and its payment is set out in this Offer Agreement (hereinafter also – the «Agreement», the «Offer»).

In accordance with Articles 428, 435, 437 and 438 of the Civil Code of the Russian Federation, the unconditional acceptance (acceptance) of the terms of this offer (conclusion of the Agreement) is deemed to be the Customer making payment when purchasing ticket(s) and receiving an e-mail confirming the fact of the purchase of the ticket(s).

By purchasing a ticket to the Performance, upon payment for the ticket and receipt of an e-mail confirming the fact of the purchase of the tickets, the Customer accepts all terms and provisions of this Offer Agreement and its Annexes without exception.

The Rules of attending the Performance and its venue (Annex No. 1 to this Offer Agreement) and the Privacy Policy form an integral part of this Offer Agreement.

This Offer Agreement and the Rules are developed in accordance with the Law of the Russian Federation of 07.02.1992 No. 2300-1 «On the Protection of Consumer Rights» (as amended on 04.08.2023), the Law of the Russian Federation «Fundamentals of the Legislation of the Russian Federation on Culture» (approved by the Supreme Council of the Russian Federation on 09.10.1992 No. 3612-1, as amended on 10.07.2023), Resolution of the Government of the Russian Federation of 18 September 2020 No. 1491, and regulate the procedure for attending performances, shows and other entertainment events (hereinafter – the Performance) held by the Gastronomic Theatre.

1. TERMS AND DEFINITIONS

Organizer’s Website — the internet resource located at https://svetshow.ru/

Performance — a gastronomic show that is a theatrical and entertainment event within the meaning of that concept used by the fundamentals of the legislation of the Russian Federation on culture.

Ticket — a ticket to the Performance that certifies the conclusion of the Agreement between the Organizer and the Customer and the right of the Customer and other persons for whom the Ticket is purchased (hereinafter also the «Visitor») to a single viewing of a specific Performance.

Order — a form completed by the Customer when applying to purchase Tickets on the Organizer’s Website, containing information about the order with the Customer’s personal data.

Gift certificate — a document certifying the Customer’s right to pay the face value of the Ticket indicated on the ticket (including the service fee, if any) in an amount equal to the face value of the Gift certificate.

2. VENUE OF THE PERFORMANCE

2.1. The venue of the Performance — Moscow, Podkopaevsky Lane 4, SVET gastronomic theatre.

3. GENERAL PROVISIONS

3.1. The subject of this Offer is the provision by the Organizer of services in the field of culture.

3.2. Tickets are sold to the Customer exclusively on the terms of this Offer Agreement and only upon full and unconditional acceptance by the Customer of both the Offer Agreement with its Annexes and the Payment Rules and Privacy Policy published on the Organizer’s Website. Partial acceptance, as well as acceptance on other terms, is not permitted. The Customer’s use of the Organizer’s services on the terms proposed in this Offer evidences the conclusion of the relevant Agreement between them by means of implied actions.

3.3. Sold Tickets are non-refundable, and a unilateral withdrawal from the Agreements is not accepted on the grounds of the Customer’s disagreement with the terms of this Offer and its Annexes or of the Payment Rules and Privacy Policy published on the Organizer’s Website after acceptance of its terms and conclusion of the Agreements.

A refund for sold Tickets is possible only in the manner and on the terms established by this Offer and the Agreements (concluded in accordance with clause 3.4 of this Offer) in accordance with the current legislation of the Russian Federation.

3.4. If Tickets were purchased by a legal entity or an individual entrepreneur for subsequent gratuitous transfer to third parties, the rules of this Offer do not apply. The Parties are governed by the relevant Agreement concluded between them.

3.5. A party to this Offer is only the Customer who purchases Tickets to the Performance exclusively for their own personal purposes not connected with the Customer’s business activity. The Customer agrees that they are not entitled to use the Ticket to advertise goods, works and services of their own or of third parties, and is not entitled to subsequently resell the purchased Tickets to third parties.

3.6. The Customer is notified that the ticket has no independent value until it is first sold to the Customer and the obligation to render services arises, within which the right of claim certified by the ticket will exist.

3.7. The Organizer independently chooses the method(s) of selling Tickets, based on its own experience and the actual circumstances, and may not be limited in this choice or compelled to a particular choice.

4. PROCEDURE AND TERMS OF ACCEPTANCE

4.1. The Customer agrees that before performing the acts of acceptance established by this Offer, they have personally read the terms of this Offer and its Annexes, have familiarized all persons for whom they purchase the ticket(s) with those terms, and that the said terms are fully clear both to the Customer and to those persons.

4.2. In cases where the Customer is represented by a representative, the Customer confirms that all acts/omissions of such person are performed by such representative with the knowledge, consent and in the interests of the Customer.

4.3. Acceptance is performed by the Customer by performing one of the following independent acts:

a) placing and paying for the Order by the Customer when purchasing a Ticket on the Organizer’s Website;

b) actual use of the Ticket by the Customer/Ticket Holder in order to receive the service of showing the Performance.

4.4. Performance of any of the acts specified in clause 4.3 of the Offer is recognized by the Parties as full and unconditional acceptance by the Customer/Ticket Holder of all terms of this Offer without any reservations or limitations, and is equivalent to the conclusion of the Agreement in simple written form (clause 3 of Article 434 of the Civil Code of the Russian Federation).

4.5. When ordering a Ticket via the Organizer’s Website, the Customer’s failure to pay the face value of the Ticket (including the applicable fees) within 30 minutes of starting the Order results in the termination of the acceptance of the terms of the Agreement and cancellation of the Order placed by the Customer.

4.6. When a Ticket is issued via the Organizer’s Website, the Customer is informed of (or sent to the contact phone number/e-mail address) the Order identification number.

4.7. The form and types of Tickets, including the electronic ticket, the sale price of the Ticket, quantity, rates, sale period, programmes and other terms of selling Tickets are approved by the Organizer on the Organizer’s Website. The Organizer reserves the right to unilaterally change the form, type, sale price of the ticket and rates by publishing new up-to-date information on the Organizer’s Website. The placement of such information on the Organizer’s Website is recognized as a permissible change of such information, and the Customer is independently obliged to read such information and the range of services on the Organizer’s Website before making a booking and/or placing an Order.

5. PERSONAL-DATA PROCESSING TERMS

5.1. In accordance with Federal Law of 27.07.2006 No. 152-FZ «On Personal Data» (hereinafter the Federal Law «On Personal Data»), the Customer acknowledges and agrees that the Customer’s acceptance of the Offer is the full and informed consent of the Customer to provide the Organizer with their personal data, as well as the personal data of third parties communicated by the Customer to the Organizer in the process of placing the Order and purchasing the Ticket, namely: surname, name, patronymic (if applicable), contact phone number, contact e-mail address.

5.2. The Customer’s provision to the Organizer of the personal data specified in clause 5.1 of the Offer is carried out for the purpose of providing services to the Customer in accordance with the terms of this Offer. The Customer gives the Organizer their consent to process the personal data provided when placing the Order and purchasing the Ticket, for the provision of services to the Customer under the Agreement provided for by this Offer, including for the purpose of the Customer receiving information messages and marketing mailings in the manner and on the terms established by this Offer. The period of use of the provided personal data is indefinite.

5.3. Processing of personal data is carried out in accordance with the Federal Law «On Personal Data» and includes the collection, systematization, accumulation, storage, clarification (updating, modification), sorting, use, anonymization, blocking and destruction of personal data. The Organizer may process personal data with or without the use of automation tools.

5.4. The Customer hereby gives their full consent to the Organizer to grant rights to transfer and process their personal data specified in clause 5.1 of the Offer, by the methods specified in clause 5.3 of the Offer, to third parties for use in accordance with clause 5.2 of the Offer, as well as for other purposes. At the Customer’s request, the Organizer undertakes to provide the Customer with information about the transfer of their personal data to third parties in accordance with this clause.

5.5. The Customer is entitled to opt out of receiving marketing mailings by submitting a corresponding application to the Organizer. Such application must contain the following information about the Customer: surname, name, patronymic (if applicable), contact number, and the e-mail address to be removed from the mailing list.

5.6. The removal of the Customer’s contact number from the Organizer’s marketing mailing list is carried out within 3 (three) business days from the date the Organizer receives the relevant application from the Customer.

6. OBLIGATIONS OF THE PARTIES

6.1. The Customer is obliged to:

6.1.1. When purchasing a Ticket, read all terms of this Offer, its Annexes, the Payment Rules and the Privacy Policy and accept them.

6.1.2. Perform personally, and ensure the unconditional performance by the persons for whom they purchase the Ticket(s), of the terms of this Offer, and comply with the Rules of attending the Performance and its venue (Annex No. 1 to this Offer Agreement).

6.1.3. Not purchase for minor visitors (children) under 16 (Sixteen) years of age Ticket(s) to an adult Performance (Show), not purchase for minor visitors (children) under 6 (six) years of age Ticket(s) to a children’s Performance (Show), and also not purchase Ticket(s) for persons suffering from epilepsy or other disorders for which exposure to flickering light or the light effect of projection screens leads to visual discomfort, deterioration of vision, headache, muscle cramps, convulsions, loss of consciousness or disorientation, dizziness, nausea, fatigue or motion-sickness symptoms. The Customer has read and agrees that they undertake to ensure the immediate exit of the said persons from the Performance if a breach of this clause is revealed during the visit.

6.1.4. When attending a children’s Performance, the Customer purchases a Ticket for every adult Visitor (accompanying a minor visitor (child)) and for every minor visitor (child) regardless of the child’s age. Attending the Performance by minor visitors (children) without an accompanying adult (legal representative, guardian or other legal representative) is not permitted.

6.1.5. When purchasing a Ticket to a children’s Performance/Show/Event, the Customer is notified that responsibility for the safety, life and health of minor visitors (children) rests with their accompanying person (legal representative, guardian, other legal representative). The minor visitor must be in the premises of the Gastronomic Theatre accompanied by adults (legal representatives). The Customer also assumes responsibility for bringing the content of this Offer Agreement and the Rules to the attention of the Visitor. The presence of the Customer’s Visitor at the Performance/Show/Event confirms that the Visitor has read and agrees with this Offer Agreement and the Rules.

6.1.6. When purchasing a Ticket to a Performance/Show/Event of the SVET Gastronomic Theatre, the age recommendations and other warnings about the features of the Performance (show) indicated in the repertoire plan and on the website of the Gastronomic Theatre must be taken into account. If such features are present, claims from the Customer and their Visitor(s)/Guest(s) are not accepted.

6.1.7. Independently monitor on the Organizer’s Website changes to the terms of this Offer, its Annexes and the terms of purchasing Tickets.

6.1.8. Pay in full the face value of the Ticket (including the applicable fees) before receiving the Ticket.

6.2. The Organizer is entitled to:

6.2.1. Change the cast of the Performance, change at its discretion the quantity and composition of the dishes served to Visitors during the Performance.

6.3. The Organizer is obliged to:

6.3.1. Provide the Customer with full information about the Performance. The Parties have agreed that the information posted on the Organizer’s Website and/or at the place of rendering the service is full and sufficient.

6.3.2. Send the Customer the issued Ticket after its full payment. Sending is carried out exclusively in electronic form to the Customer’s e-mail address indicated when placing the Order.

7. PAYMENT PROCEDURE

7.1. The Ticket is not transferable to the Customer before its full payment.

7.2. Information about payment methods is posted on the Organizer’s Website.

7.3. The Customer is deemed to have duly fulfilled the payment obligation at the moment funds are credited to the Organizer’s settlement account.

7.4. When paying by bank card, the Customer must use a bank card issued in their name, or have duly certified documents confirming the right to use a bank card issued in the name of another person. The Organizer is entitled to require the Customer to provide the originals of identity documents in the event of payment by bank card.

8. PROCEDURE AND TERMS OF REFUNDS

8.1. A refund for the Ticket(s) is made in the amount of the face value of the Ticket indicated on the ticket, less the service fee, if any was charged.

8.2. Funds for the Ticket(s) claimed for refund due to the illness/death of the Customer or their close relative are refundable upon presentation of supporting documents.

8.3. Funds for the Ticket(s) claimed for refund due to the cancellation of the Performance through the Organizer’s fault are refundable regardless of the date of request in the amount of 100% of the face value of the Ticket indicated on the Ticket.

8.4. In the event of the Customer’s refusal to attend the Performance for reasons not provided for in clauses 8.2–8.3 of this Offer, the amount to be refunded is determined in accordance with the requirements of the current legislation and depends on the period of the Customer’s request to the Organizer according to the following rules, if the Customer has submitted a refund application:

– less than 3 days before the day of the Performance – no refund is made;

– from 3 to 5 days before the day of the Performance – only 30% (thirty percent) of the face value of the Ticket is refunded;

– from 5 to 10 days before the day of the Performance – only 50% (fifty percent) of the face value of the Ticket is refunded;

– 10 days or more before the day of the Performance – 100% (one hundred percent) of the face value of the Ticket is refunded.

The service fee is non-refundable (if the service fee was charged when the Customer purchased the Ticket).

8.5. To receive funds, the Customer/Ticket Holder undertakes to provide the Organizer with:

– a refund application in the form established by the Organizer;

– the ticket(s);

– the cashier’s receipt;

– passport details and, if necessary, present the original passport.

8.6. For cashless payment of Tickets, the refund is made by transferring the funds to the settlement account from which payment was made, within 10 (ten) business days from the date the refund application is filed, unless other periods are indicated by the Organizer. The refund is made only to the settlement account from which payment was made.

8.7. The refund is made within 10 (ten) business days from the day the refund decision is taken, using the method that was used when purchasing the Ticket.

8.8. Funds for an unused Gift certificate (i.e. a Gift certificate not exchanged for a Ticket before the end of its period of use indicated on the Gift certificate) are non-refundable.

8.9. The Customer accepts and agrees that the official information evidencing the cancellation, replacement or rescheduling of the Performance is the information provided by the Organizer and sent to the Customer’s contact e-mail/phone details (if they were provided by the Customer when purchasing the Ticket) or posted on the Organizer’s Website.

9. LIABILITY

9.1. In the event of failure to perform or improper performance of their obligations under the Offer Agreement, the Parties bear liability in accordance with the legislation of the Russian Federation.

9.2. The Customer assumes all possible risks associated with their actions in possibly allowing errors and inaccuracies in the data provided by them and required to issue the Ticket.

9.2.1. Since the purchase of a ticket is a fully independent process and an independent choice of the Customer, the Organizer is not liable for an erroneous or incorrect choice of the date of the Performance, the title of the Performance, the time of the Performance or the price of the Ticket. The Organizer is not liable for indicating an incorrect e-mail address, bank card details or phone number of the Customer. The said data must be checked by the Customer before paying for the Order.

9.3. The Organizer is not liable for any losses and moral harm incurred by the Customer as a result of their erroneous understanding or misunderstanding of the information about the procedure for placing (paying for) the Order, receiving the Ticket, attending the Performance, and also receiving and using services under the Agreement.

9.4. The Organizer is released from liability for partial or full failure to perform obligations if it resulted from force-majeure circumstances, which include, but are not limited to, natural disasters, civil unrest, strikes, military actions, the entry into force of legislative acts, resolutions and orders of state bodies directly or indirectly prohibiting the obligations specified in the Agreement or preventing the performance of obligations under this Agreement, and other circumstances beyond the will, which the Organizer could not foresee or prevent.

9.5. The Organizer is not liable for injuries, damage or any other harm caused to a minor visitor (child) and/or the child’s legal representative or other responsible (accompanying) persons of the child, unless such damage is caused by a malfunction of equipment located in the premises of the Gastronomic Theatre. The Organizer does not assume the obligation to supervise the Visitor-child and/or to ensure their safety. In accordance with Article 63 of the Family Code of the Russian Federation, the Organizer is not liable for a minor Visitor (child) on the premises of the Gastronomic Theatre. All responsibility for a minor visitor (child) rests with their legal representative (parent) or guardian or other accompanying person.

9.6. While on the premises of the Gastronomic Theatre, the Visitor of the Performance/Show/Event, in accordance with Article 152.1 of the Civil Code of the Russian Federation, gives consent to the capture of their image (photo and video recording) and consent to the publication and further use (including distribution on the «Internet») of their image and the image of the accompanied minor Visitor (including photographs, as well as video recordings or other works of fine art depicting the Visitor and/or the minor Visitor (child) accompanied by them) made during the Visitor’s stay at the Gastronomic Theatre.

10. PRE-TRIAL DISPUTE SETTLEMENT

10.1. All disputes or disagreements arising in connection with the performance/non-performance of the provisions of this Offer may be resolved by the Parties through a claim procedure. In this case, the Party that considers its rights to be violated sends the other Party a claim in simple written form with duly certified documents justifying the stated requirements attached.

The period for reviewing a claim is 10 (ten) business days from the moment of its receipt.

10.2. If the Parties fail to reach agreement, they are entitled to apply for the protection of their interests to the judicial bodies of the relevant instance.

11. ENTRY INTO FORCE OF THE OFFER AGREEMENT, AMENDMENT OF ITS PROVISIONS

11.1. This Offer enters into force from the moment of its placement on the Organizer’s Website and is valid indefinitely.

11.2. All amendments made to this Offer are subject to placement on the Organizer’s Website and take effect from the moment such amendments are placed on the Organizer’s Website.

11.3. The Organizer is entitled at any time to make amendments to this Offer, but in any case such amendments are published and made publicly available by being published on the Organizer’s Website. The Customer’s use of the Organizer’s services after amendments to the text of this Offer means acceptance of the Offer as amended.

Annex No. 1

to the Offer Agreement

GTS LLC

Rules of attending the Performance and its venue

1. These Rules of attending the Performance and its venue form an integral part of the Offer Agreement for the purchase of Tickets to the gastronomic performance, posted by the Organizer GTS LLC on the website on the Internet at https://svetshow.ru/

2. The Customer (hereinafter also the «Visitor», «Ticket Holder») must independently plan their time so as to arrive in time for the start of the Performance, taking into account the time needed to check in outerwear at the cloakroom.

3. The Organizer is entitled, before, during and after the Performance, to advertise other Events of the Organizer or of other persons.

4. The Organizer has the right to delay the start of the Performance from the scheduled time by up to 30 minutes, which is considered permissible and is not a breach on its part.

5. The Performance may be interrupted by intervals at the Organizer’s discretion.

6. When attending the Performance and its venue, the Visitor must have with them and, at the request of the Organizer’s staff, present an identity document (passport or driving licence), and when attending a children’s Performance — a document confirming the age of the minor Visitor (child).

7. The Visitor must observe a dress code corresponding to an elegant style (Smart Casual or Cocktail or Black Tie). Outerwear must be checked in the cloakroom (at the entrance to the premises). In the autumn–winter period and during the spring thaw, attending a children’s Performance is provided for the Visitor-child only in a change of footwear.

8. When attending the Performance and its venue, the Visitor must strictly observe all sanitary and epidemiological restrictions introduced in the established manner, including (if necessary) carrying personal protective equipment.

9. During the Performance, all communication devices must be switched off or set to silent standby mode. The Visitor is also prohibited from separately using the backlight of mobile or special devices.

10. In order to protect copyright and other related rights, photo, film, video and TV recording, and any kinds of audio recording on professional sound and video recording equipment, are prohibited without the Organizer’s special permission. Commercial filming is also prohibited.

11. Disrupting the Performance in any form is strictly prohibited. This includes talking loudly and walking around the hall during the Performance, moving interior items, entering premises closed to visitors, going behind the established barriers, opening windows, sitting and standing in the aisles, and displaying prohibited symbols.

12. For the safety of all visitors, it is prohibited to bring into the premises where the Performance is held:

– weapons,

– flammable, explosive, poisonous, odorous and radioactive substances,

– piercing and cutting objects,

– pyrotechnic devices,

– devices and items, including homemade ones, that are not pyrotechnics, used for scattering or spraying various materials and substances;

– laser pointers;

– items creating a noise effect and disturbing visitors;

– narcotic substances,

– alcoholic beverages,

– suitcases, large bags and other oversized items (they may be left at the entrance to the premises, while the Organizer is not liable for and does not accept claims related to the safety of any personal belongings of Visitors),

– animals or birds.

13. In order for the Organizer to ensure the safety of the services it provides, the Organizer is entitled to carry out visual inspection and inspection using technical means of the Visitor’s personal belongings (bags, briefcases, backpacks, packages, parcels, suitcases, etc.). At the entrance to the establishment all Visitors must undergo a personal inspection and present for inspection all personal belongings with them to the Organizer’s staff. If this requirement is not met, the Visitor may be denied entry to the Performance, while the funds for such Visitor’s Ticket are non-refundable (the service is deemed not rendered by the Organizer through the Customer’s fault).

14. The Visitor is not entitled to attend the venue of the Performance while intoxicated by alcohol and/or drugs in a manner capable of offending human dignity and violating norms of public morality.

15. In accordance with Federal Law of 23.02.2013 No. 15-FZ «On Protecting the Health of Citizens from the Effects of Ambient Tobacco Smoke and the Consequences of Tobacco Consumption», smoking in the building and premises where the Performance is held is prohibited.

16. The Visitor must behave respectfully towards other Visitors, the Organizer’s staff and all participants of the Performance.

17. When attending a children’s Performance (show), the accompanying adult (legal representative of the minor visitor (child), guardian, other legal representatives) assumes full responsibility for the safety, life and health of the minor visitor-child, for discipline, for breaches of order, and for harm caused to the property of the Gastronomic Theatre. The child must not walk around during the viewing of the Performance, must not behave noisily, and must not interfere with the viewing and conduct of the Performance. The administration of the Gastronomic Theatre has the right to require the violator to leave the premises where the Performance is shown without a refund of the Ticket price.

18. The Visitor must immediately inform the Organizer’s staff of any case of discovery of suspicious objects (including items left unattended), breach of public order, occurrence of smoke or fire, or the need to provide medical assistance to persons near them.

19. All Visitors must comply with the requirements of the Organizer’s representatives ensuring order and safety during the Performance.

20. Upon receiving information about evacuation from the venue of the Performance, act in accordance with the instructions of the Organizer’s staff, remain calm where possible and not create panic.

21. The Visitor is strictly prohibited from performing actions that create a threat to their own safety, life and health, as well as to the safety, life and health of other persons located at the venue of the Performance and the adjacent territory.

22. The Visitor is prohibited from carrying out any trade (including the sale of Tickets and any trade during the Performance).

23. The Visitor must refrain from attending the Performance if there are suspicions that they have a coronavirus infection or other cold or viral diseases.

24. A Visitor/guest who has a tendency to food allergies must warn the organizer of the Performance/event and the waiter of this before it begins, discuss the replacement of dishes/drinks, and also, throughout the Performance/Event, independently controls and consumes the dishes/drinks that were provided specifically to them, taking into account their individual dietary features, and accepts the possible risks associated with this.

25. The Visitor is liable for damage caused by them and/or by the minor Visitor (whose representative (accompanying person) they are) to the Organizer’s property.

26. The Organizer is not liable for any damage caused to the health and/or property of the Visitor and/or the minor Visitor (whose representative (accompanying person) they are) by another Visitor.

27. The Organizer is not liable for the Visitor’s personal belongings left unattended. In the event of loss of the cloakroom tag, the issuance of belongings is carried out last, subject to its detailed description.

28. During a visit to a children’s Performance/Show/Event, so that all participants (Visitors) are comfortable, the manner of communication of the minor Visitor (child) must not cause physical and/or moral harm to others. In the event of aggression towards others, in the event of acts of vandalism and damage to the property of the Gastronomic Theatre, the Organizer reserves the right to terminate the stay of such minor Visitor on the premises of the Gastronomic Theatre.

29. For any breach of these Rules, the Visitor may be denied entry to / removed from the premises where the Performance is held, without compensation of the Ticket price (the service is deemed not rendered by the Organizer through the Customer’s fault).

30. This version of the Rules may be changed by the Organizer of the Performance without notice. The Organizer of the Performance is entitled to make any change to the Offer Agreement and its Annexes, to issue and approve a new version of the Offer Agreement and/or its Annexes, and to place it on the Organizer’s Website. The Customer (Visitor) independently monitors on the Organizer’s Website updates of the versions of the Offer Agreement and/or its Annexes, changes to the terms of purchasing Tickets, etc.
